SYNDICATION INDEPENDENT CONTRACTING AGREEMENT

PawSitesOnline, referred to as CONTRACTING PARTY, and syndicator, referred to as INDEPENDENT CONTRACTOR, agree:
CONTRACTING PARTY shall perform the following services for INDEPENDENT CONTRACTOR :
Establishment of a duplicate PawSitesOnline web site at the following rate of remuneration:
A one time set up fee of $999.00 USD, a monthly recurring fee of $199.00 USD, percentage payment per sale, and service and maintenance as follows:
1. A one time set up fee will be charged to all syndicators. This charge covers the establishment of a fully functional “duplicate” of the entire PawSitesOnline site local to the syndicator’s selected server. If the syndicator should require assistance with server allocation or domain acquisition additional fees will be assessed on a case-by-case basis. The individual syndicator will be advised of the additional charges prior to set up.
The standard one time set up fee is $999.00 USD payable in advance unless other arrangements are made.
2. A recurring (monthly) fee will be charged to all syndicators. This charge will cover all current “updates” to the PawSitesOnline Main site, thus keeping the syndicated sites “transparent” to the local customer/browser. These updates will be compiled and sent by PawSitesOnline Main site to the individual syndicators once a month via an easily uploaded “zip” file(s).
The recurring fee is $199.00 USD payable upon receipt of the “update” file(s).
3. A percentage of each sale will be paid to the syndicator with an incrementally smaller percentage paid back to PawSitesOnline Main site. These percentages will be established at the time of syndication site set up, but will not exceed ___ % paid to the syndicator and ___ % to be paid back to PawSitesOnline Main site. These percentages will be predicated on, but not limited to, local economies, market share of sales, fair market value of item sold etc. The syndicator and PawSitesOnline Main site will be in agreement of the % values prior to commencement of sales.
4. Service and Maintenance will be available to the individual syndicator from PawSitesOnline Main site. Fees for services rendered will be assessed on a case-by-case basis, not to exceed current market rate fees.
This agreement shall begin on ___________ and shall terminate upon request with 30 days notice unless earlier terminated.
Contracting Party may terminate this contract on 14 days notice to Independent Contractor for unsatisfactory performance.
THIS IS AN AGREEMENT FOR INDEPENDENT CONTRACTING SERVICES. THE CONTRACTING PARTY PROVIDES NO BENEFITS SUCH AS UNEMPLOYMENT INSURANCE, HEALTH INSURANCE OR WORKER'S COMPENSATION INSURANCE TO INDEPENDENT CONTRACTOR.
CONTRACTING PARTY IS ONLY INTERESTED IN THE RESULTS OBTAINED BY THE INDEPENDENT CONTRACTOR. INDEPENDENT CONTRACTOR SHALL BE RESPONSIBLE FOR PROVIDING ALL TOOLS AND MATERIALS REQUIRED FOR PERFORMANCE OF THE TASKS AGREED TO.
INDEPENDENT CONTRACTOR IS RESPONSIBLE FOR PAYMENT OF ALL FEDERAL, STATE AND LOCAL INCOME TAXES.
